Partner Standards

InvestPNG maintains defined standards for all partner engagements on the platform. These standards exist to ensure that opportunities presented to institutional investors meet the governance, disclosure, and capability expectations of qualified capital providers. Adherence to these standards is a condition of engagement with the platform.

Why Standards Exist

Institutional investors conduct rigorous due diligence before deploying capital. They expect counterparties to operate within defined governance frameworks, provide accurate and complete disclosure, and demonstrate the organisational capability to deliver on stated commitments. InvestPNG’s partner standards are designed to bridge the gap between PNG-based opportunity holders and international institutional expectations.

Maintaining consistent standards across the platform protects all parties: investors receive credible, comparable information; partners benefit from a structured pathway to capital engagement; and the platform’s institutional reputation supports ongoing access to qualified investor networks.

Governance Standards

Partners engaging with InvestPNG must demonstrate:

• A defined organisational structure with documented governance arrangements
• Clear decision-making authority with identifiable responsible persons
• Legal registration consistent with the entity type (company, ILG, statutory body, or equivalent)
• Compliance with applicable PNG regulatory requirements, including IPA certification where required
• No material unresolved regulatory actions or governance disputes on public record

Disclosure Standards

All information provided to InvestPNG for inclusion in investment briefs or platform listings must be:

• Accurate and supported by verifiable source documentation
• Complete — material information must not be omitted or selectively presented
• Current — information must reflect the present state of the opportunity or entity
• Consistent with information provided to regulatory bodies and other stakeholders

Financial figures, production estimates, resource data, and technical specifications are only included in platform materials where they are supported by credible source documentation. Where verified figures are not available, InvestPNG will note that further detail is available upon request.

Capability Standards

Partners must demonstrate relevant capability in their area of operation. This may include:

• Operational track record in the relevant sector or project type
• Technical expertise or access to qualified technical resources
• Financial capacity to participate in project development activities
• Established relationships with relevant regulatory bodies and stakeholders

Where a partner’s capability is limited in specific areas, InvestPNG may recommend engagement with qualified professional advisers as a condition of continued platform participation.

Compliance Obligations

Partners are required to:

• Maintain their regulatory registrations and compliance status throughout the engagement
• Notify InvestPNG of material changes to their organisational structure, governance, or regulatory standing
• Cooperate with InvestPNG’s assessment and verification processes
• Respond to information requests from InvestPNG within reasonable timeframes
• Not engage investors directly through the platform — all investor communication is managed through InvestPNG’s sector desks

Review and Enforcement

InvestPNG reviews partner compliance on an ongoing basis. Where standards are not met, the platform may issue recommendations for remediation, place conditions on continued engagement, or suspend the partner’s platform access and associated opportunity listings.

Partners whose engagement is suspended will be notified in writing with a clear statement of the reasons and any steps required for reinstatement.

Standards Updates

InvestPNG may update its partner standards from time to time to reflect changes in institutional investor expectations, regulatory requirements, or platform operating procedures. Partners will be notified of material changes to standards and given a reasonable period to achieve compliance with updated requirements.
